Why do we have Co-Chairs?
The Co-Chairs came about because of an unusual set of circumstances. Kaio Karipa is chair of NgaiTakoto Australia, which represents those that live in Australia. Wallace Rivers is the independent chair of the Trust. When the previous CEO became ill, Wallace stepped down as chair and took on the interim CE role until Craig Wells was appointed. Once that appointment was made, and after board discussion, Wallace was re-instated as Chair, and the board agreed to Co-Chairs. This was happening through the Covid pandemic, with everything being done online which made this arrangement easier.
They found the benefit of having Co-Chairs was that either one of them could attend any meetings, with iwi or government. Some organisations wouldn’t allow vice-chairs or individual board members to represent the iwi at their meetings unless they were the chair, so this ensured there was always a representative available. However, we recognise this is outside of the current Trust Deed. This, along with other considerations around representation will be part of the Trust Deed update.
When do we get to vote for new trustees?
The Trust Deed of the Rūnanga states:
- Trustees have a term of 3 years
- For those due to retire, their effective date of retirement is the date of the AGM
- Retiring trustees are eligible for re-election
- Each marae are entitled to elect up to 2 trustees
- To be elected, the Trustees will call for nominations from the marae with a retiring trustee prior to the AGM.
- An election is held, and the marae members (of the retiring trustee) vote for their representative
- The election should occur before the AGM
However the logistics of running a full election are complex, and costly. As Whāia Legal have raised in their presentation, this system can be simplified and needs further discussion. That discussion will be part of the engagement process in reviewing the Trust Deed.
Why are we holding these meetings off marae?
Many of our beneficiaries reside outside of the rohe. We have a commitment and a need to ensure they stay connected and have the same opportunity to have a say in NgāiTakoto business. In order to do this, we need reliable connectivity, and we need sophisticated audio-visual capabilities so we can broadcast live and we can record.
Why aren’t you presenting the 23/24 audited accounts?
These are still being prepared by the auditors and will not be ready in time for the AGM. We didn’t want to delay the AGM any further due to Christmas and the January holidays, then Waitangi Day preparations early February, which would have meant the AGM would need to be delayed until late February/early March.
The aim is to present the 23/24 accounts at the Special Meeting that is planned for possibly May/June 2025 to approve the updated Trust Deed. Then we will present the 24/25 audited accounts at the next AGM in September 2025.
When will the Trust Deed be updated?
The Hui-ā-iwi was the first step to engaging with our people about some of the material changes required. However, more consultation meetings are planned for the new year (see the timeline below)
Changes to the deed shall only be made with the approval of a special resolution passed in accordance with Schedule 5.
Voting must occur by placing voting forms in a ballot box in person or by post.
To pass you require not less than 75% of those Adult Registered members of NgāiTakoto who validly cast a vote in favour of the proposed Special Resolution.
A Special General Meeting must be called for the purposes of considering 1 or more special resolutions. Must give at least 21 days notice of the Special Meeting.
When will you finalise the Strategy?
Feedback on the draft strategy was sought through the Hui-ā-iwi and online surveys. The Board reviewed the feedback, made a couple of minor wording changes and approved the Strategy in November. The valuable feedback received will inform the business plan – which describes the tasks needed to acheive the high level strategic priorities in more detail. The business plan will be presented to the board early next year before the next financial year begins.
Why is this a 3 year Strategy?
A 3-year strategy is essential for bridging the gap between our long-term vision, as outlined in the “NgāiTakoto Future Proofing the Iwi Strategy 2040” and the practical steps needed in the short term. While the overarching strategy remains relevant and provides a clear long-term direction, breaking it down into smaller, focused increments allows us to address immediate needs, track progress, and adapt as necessary. This approach ensures that we remain aligned with our long-term goals while making tangible progress year by year.
How will you deliver on these strategic objectives?
Once the engagement process with our people was completed, the Board reviewed the feedback, made any necessary adjustments, and formally approved the strategy. Management will now develop an annual plan, covering the next financial year, which will outline the steps required to achieve the strategic objectives. This plan will provide clear direction for the team, ensuring focus on specific tasks, while also enabling the Board to monitor and measure management’s progress.
Are we planning to sell some of our assets or businesses?
Not necessarily. The Board’s responsibility is to manage the Rūnanga commercial assets in a way that ensures the sustainable growth of the iwi’s wealth, to support the cultural and economic goals of NgāiTakoto. This involves evaluating the performance and strategic value of each business unit to determine how they align with our long-term goals.
When is next years AGM?
We hope to hold the 2025 AGM no later than the end of September 2025.
